Terms of Service

You agree to be bound by the terms and conditions contained within these Terms of Service (“Agreement” or “Terms”) as well as Our Privacy Policy (“Privacy Policy” or “Policy”). Collectively, these form a legally binding agreement between Baldwin Risk Partners, LLC, on behalf of itself and its affiliates, including Founder Shield and its affiliates. The terms “Founder Shield,” “We,” “Us,” or “Our” mean Baldwin Risk Partners, LLC, and its respective parents, subsidiaries, brand names (including, but not limited to, Founder Shield, REShieldAlphaRoot, Cover Small Business and Scale Underwriting), affiliates, licensees, successors and assigns of each of the foregoing, each of their respective agents, directors, officers, employees, shareholders, members, and legal representatives. The terms “You,” “Client,” “Your,” and “User” shall mean You, users of Our Services, and any entity or organization You or such users shall represent. The term “Services” means, collectively, various websites, applications, email notifications and other mediums, or portions of such mediums, through which You have accessed this Agreement (the “Website”). This agreement contains an agreement to arbitrate all claims and disclaimers of warranties and liability.

Privacy Policy

By using Our Services, You agree to Our full Privacy Policy, which We strongly encourage You to read in full. These Terms of Service incorporate this Policy in full, and by agreeing to these Terms of Service, You agree to be bound by the terms of the Privacy Policy and that We may collect, store, and use information about You in accordance with the Policy`s provisions.

Your Acceptance of this Agreement

By gaining access to and using Our Services, You acknowledge and agree that Your acceptance of these Terms is supported by sufficient and valuable consideration. You expressly represent that You have read this Agreement and have the capacity to agree to be bound to these terms, and, where acting on behalf of a business entity or other organization, agree that You have the authority to so bind that entity or organization.

Account Registration

As a condition to using certain features of Our Services, You may be required to register and create a username and password on Our Website. You may not select a username intended to impersonate another person or identity, that is subject to rights of another person or identity, or that is obscene or vulgar. We reserve the right to refuse or cancel registration of any username in Our sole discretion. You are responsible for maintaining the confidentiality of Your username and password. You further agree to notify Us immediately, at info@foundershield.com if You become aware of any unauthorized use involving Your username and password.

Use of Our Services

Our Services as well as their underlying processes, related content, and generated data may only be used for Your personal, informational, and non-commercial use. You may not copy, reproduce, sell, distribute, replicate, duplicate, relay, transmit, broadcast, or license Our Services or their underlying processes, related content, or generate data without Our express written consent in each instance. Your use of Our Services is not transferable by You to any other person or entity without express consent by Us. Your access and use of Our Services may be interrupted by, without limitation, maintenance of Our equipment or networks, malfunction of Our equipment or networks, or inadvertently by a third party or parties. We reserve the sole right to suspend or discontinue the availability of Our Services at any time in Our sole discretion and without prior notice or consent.

Your Consent to Our Use of Your Data

When You provide us with personal and other information, You consent to Our collection, use, storage, and disclosure of this information to appropriate third parties for the purposes described herein and within Our Privacy Policy. You may provide Us with personal information, and We may also collect or verify the same or similar information from Our affiliates and other third parties, such as employers, insurers, brokers or agents, credit agencies, departments of motor vehicle and driver licensing, financial institutions, healthcare providers, and other sources. If You provide personal information about other individuals, such as Your employees or dependents, You must first obtain their consent. You must provide only accurate information, and refrain from providing information that is not necessary or requested.

We also may collect information online when You visit Our websites or access Our Services from Your computer or other device, or interact with Us on or through social media.

Information You Submit to Us

In using Our Services, You may choose to communicate with Us by providing us with feedback, comments, questions, or proposals. In so doing, You agree that any content You submit to Us is not confidential or proprietary in nature, and does not impose upon Us any obligation or otherwise. Under no circumstance will Your submission of information obligate Founder Shield to pay You compensation.

You may provide Your information as part of an attempted or completed request for a quote or offer for goods and services of a third-party vendor. In doing so, You agree to allow Founder Shield to use this information in any way consistent with the Terms of Service. When You submit contact information to Us as part of an attempted or completed request for a quote or offer for goods and services, You consent to receive telephone calls, emails, text messages, mailers, or other similar communications in connection with these goods and services. This is true even if Your phone number is on any “do not call” list.

Founder Shield’s Right to Contact You

You authorize Founder Shield to contact You with relation to Our Services and products if You expressly provide us with Your contact information in connection with Our Services or the products or services offered through Our Services. This authorization is without regard to any “do not call” list registry.

Prohibited Activities

You are responsible for anything You transmit to or through Our Website or to Us through email, and that Your transmissions will be truthful, accurate, not misleading, offered in good faith and that You have authority to transmit such information. In using Our Website, You agree that it is solely Your responsibility to avoid certain activities We deem as prohibited at Our discretion. These prohibited activities include, but are not limited to:

  • Criminal activity or tortious activity, including fraud, harassment, spamming, copyright infringement, patent infringement, or theft of trade secrets or other intellectual property rights;
  • Advertising to, or solicitation of, any User to buy or sell any products or services;
  • Engaging in any automated use of the system, such as using scripts to send emails, comments, or request information;
  • Interfering with, disrupting, or creating an undue burden on Our Services or the underlying networks;
  • Attempting to impersonate another User;
  • Using a false email address or the email address of another person or entity without authorization;
  • Using Our Services in a manner inconsistent with any and all applicable laws and regulations; and
  • Using information or scraping information from Our Services for any purpose whatsoever.

Monitoring of Services

We reserve the right but have no obligation to monitor Our Services for Your or third party violations of this Agreement, to take appropriate legal action against anyone who violates this Agreement, to refuse or restrict access to or availability of any User`s interaction with the Services, remove the Services or otherwise disable all files and content at Our sole discretion, and otherwise manage the Services in order to protect the rights and property of Founder Shield and its clients.

Termination of Your Account or Use of Our Services

We may restrict, suspend, or terminate Your use of or access to Our Services in the event that You violate these Terms of Service, at Our sole discretion, as permitted by law. We may change the content or otherwise restrict access to all or parts of Our Services without providing notice at Our discretion, as permitted by law.

Content

We make no representations or warranties about the suitability of the content of Our Website for any purpose. We provide all of our Content on an “as is” and an “as available” basis without any warranty of any kind.

License Status

We are a licensed independent insurance broker and offer advisory, risk management and other services in relation to Your insurance planning requirements. You understand and agree that We are not an insurance company or similar provider of products or services, and as such, do not make any coverage determinations.

AlphaRoot and ReShield as well as any other future brands of Foundershield LLC are practice groups of Foundershield LLC and are not licensed insurance brokerages.  All insurance products offered by Foundershield LLC, a licensed insurance broker.

Disclaimers and Limitation on Liability

We make no warranty of any kind whatsoever-express or implied-with respect to the contents of its Services. FOUNDER SHIELD HEREBY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. Any particular coverage provided to You by any insurance company or other third party is subject to that party’s terms, conditions, exclusions, and underwriting practices. We also recommend that You obtain additional information and advice from Your accountant, attorney, and other advisors that can take Your individual circumstances into account. The insurance policy or other product or service You purchase, if any, through Our Services forms the exclusive contract between You and the insurer or other third party, and You agree to not rely on the general information made available through Our Services.

Our Services may provide You with offers or quotes with a third-party provider of goods or services. However, You agree that We make no guarantee that all users will be provided with such a quote, and that some of these services may only be available to United States residents and corporations or only available in a portion of states.

Indemnification and Hold Harmless

By using Our Services, You agree to indemnify, defend, and hold harmless Founder Shield against any claim, cost, fine, damages, liabilities, and losses, including attorneys’ fees and legal costs, arising from or related to Your use of Our Services.

Fees and Charges

Access to and use of many aspects of Our Services are free. You may choose to purchase products or services from Us while using Our Services, which may result in charges and fees to You. We will inform You in advance of any such charge or fee. By submitting payment information for an accepted method of payment (“Payment Method”) through Our Services, You authorize Us to charge You these agreed-upon amounts as well as any applicable taxes to Your Payment Method. You will not be entitled to any refund of charges, fees, or taxes except as expressly provided herein, or as required under applicable law.

You may choose to use a credit or debit card as a Payment Method to pay for charges, fees, and taxes in connection with Our Services. Should You choose to do so, You warrant that You are authorized to use such credit or debit card for this purpose. Should You use a credit or debit card without authorization, in whole or in part, You will remain responsible for any outstanding balance, and We may alert the appropriate authorities of Your misuse.

We do not store Your Payment Method informtion and You may edit Your Payment Method information by  upon approval of any insurance proposal presented to You . If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and You do not call to edit Your Payment Method information or cancel Your account, You remain responsible for any uncollected amounts and authorize Us to continue billing the Payment Method, as it may be updated. This may result in a change to Your payment billing dates. For certain Payment Methods, the issuer of Your Payment Method may charge You a foreign transaction fee or other charges. Check with Your Payment Method service provider for details.

You may cancel Your policy at any time by calling Our Client support subject. Note that some policies may have a minimum nonrefundable deposit (a “minimum earned premium”) as determined by the Insurer, where others allow You to cancel at any time. Please review Your insurance proposal and quotes in detail to understand the cancellation terms of any given policy

We receive commissions, fees, or interest as compensation for the insurance policies provided to You through Our Services. If You have any questions regarding the nature or amount of the compensation paid to Founder Shield or its partners, DBAs, subsidiaries, and affiliates, We encourage You to contact Us.

Ancillary Service Providers

Our Services come with perks that allow You to access third-party providers of products and services. We do not endorse or recommend any of these providers, and do not act as an agent with respect to such providers or with respect to You. We do not investigate, guaranty or certify that such providers are appropriately licensed, certified, or otherwise qualified to offer these products and services. You agree that You are solely responsible to investigate these providers, and that You are solely responsible and liable for any products or services they may provide You that may give rise to costs, damages, liabilities, fees, or fines. We suggest that You seek the consult of financial advisers, insurance agents, or other qualified professionals who may be fully aware of Your individual circumstances and needs prior to making any financial or insurance purchasing decisions. You agree that You are relying solely on Your judgment and that of Your advisors in purchasing products or services through Our Services or based on information provided by Our Services.

Intellectual Property Rights

Notwithstanding anything to the contrary herein, and without limitation, Our names, graphics, and logos used in connection with Our Services, service marks, icons, page headers, product names, page layouts, scripts, and related terminology are Our trademarks and trade dress (collectively, “Proprietary Marks”) in the United States and other countries. You may not use Our Proprietary Marks without Our express and written permission. We make no proprietary claim to any third-party names, trademarks, or service marks appearing on Our Services as such rights related to these names, trademarks, or service marks belong to their respective owners.

Any information, advice, data, software, or other content, which may be contained in or downloaded from Our Services (collectively, “Content”), including, but not limited to, all text, graphics, charts, images, videos, line art, icons, and renditions, are copyrighted by, or otherwise licensed to, Us or Our Content suppliers. No Third-Party Beneficiaries

These Terms are between You and Founder Shield. No provision within these Terms confers any implied or express right in any third party. These terms do not provide You with any authority to bind Founder Shield in any way.

Assignment

You may not transfer, assign, or license Your rights under these Terms without Our prior express and written consent.

Void Where Prohibited

Our Services are intended for use for those areas in the United States where We, Our affiliates, Our partner insurers, Our brokers, or Our agents and employees are licensed and permitted to sell Our products and services. Although Our Services may be accessed by users in other locations, any offer or transaction for any feature, product, or service is void where prohibited by law.

Minors

Our Services are not directed at minors, that is, persons younger than 18 years old. If You are not at least 18 years old, please do not provide attempt to access Our services. We do not knowingly contact or collect personal information from persons under 18 years old, and such a person should not provide Us with his or her personal information.

Governing Law; Jurisdiction

You agree that these Terms (and incorporated Privacy Policy) are governed and interpreted by the laws of the State of New York without regard to principles of conflicts of law. By using Our Services, You agree to personal and exclusive jurisdiction of the state and federal courts of New York in order to resolve any claim, disagreement, or dispute arising from Your use of the Services, including but not limited to the enforcement of any arbitration award. You further agree to waive any objection to such jurisdiction or venue.

Arbitration Agreement and Waiver of Class Remedies

  1. Arbitration Agreement

Any controversy or claim arising out of or relating to this Agreement shall be finally resolved by binding arbitration following the parties’ good faith efforts to settle such dispute, claim, question or disagreement. If a binding arbitration occurs, it shall be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and its procedures for consumer disputes, except for any rules or procedures permitting class actions or otherwise contradictory to these Terms. An arbitrator shall wield exclusive authority to resolve all disputes, including whether this or any other provision contained in these Terms is void or voidable. The arbitrator’s award shall be binding and entered as a judgment in any court of competent jurisdiction and in accordance with the Governing Law and Jurisdiction clause of these Terms.

The parties understand that, absent this Arbitration Agreement provision, they may otherwise have the right to sue in a court of law, and may have the right to a trial by jury. While arbitration is intended to be more cost-effective, in some instances the cost of litigation may exceed the cost of civil litigation in a court. Moreover, the rules and procedures of arbitration may limit discovery.

  1. Waiver of Class Remedies

You agree that any arbitration shall be conducted only in Your individual capacity, and You expressly forego the right or option to file or join a class action or other representative action. Should any court or arbitrator determine that the class action waiver set forth in this section is void or otherwise unenforceable, or that an arbitration can proceed on a class basis, then the arbitration provision shall be deemed null and void in its entirety, and the parties shall be deemed to have not agreed to arbitrate any dispute.

  1. Exception: Litigation of Small Claims Court Claims

Notwithstanding the parties’ decision to resolve all disputes through arbitration, relief may also be sought in a small claims court for disputes or claims within that court’s jurisdiction—subject to the Governing Law and Jurisdiction clause of these Terms.

  1. Thirty Day Right to Opt Out

You have the right to opt out and not be bound by the arbitration agreement and class action provisions of this section by sending written notice of Your decision to opt out to the following address: 228 Park Ave S, #90348, New York, NY 10011. Such notice must be sent within thirty (30) days of registering to use Our Services, or else You shall be bound to arbitrate disputes in accordance with these Terms. Any such opt out shall be mutual. We reserve the right to terminate Your use of Our Services should You opt out.

No Oral Modification

These Terms may not be modified through oral agreement or statements. The individual employees of Founder Shield, Founder Shield’s partners, and Founder Shield’s third-party affiliates are not authorized to modify these Terms except by the mechanism stated herein. Any employee offering to modify these Terms is not acting as an agent of Founder Shield or with proper authority to bind Founder Shield. You agree not to rely on any statement, written or oral, by any employee or agent of Founder Shield or any third party with respect to modification or interpretation of these Terms.

Severability

Except as otherwise provided herein, in the event that any provision contained within these Terms shall be deemed to be unenforceable, invalid, or unambiguous, such provision shall be limited or discarded to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and enforceable.

Non-Waiver

Neither party shall be deemed to have waived, in whole or in part, any of its rights granted herein by its failure to exercise, in whole or in part, any right herein.

Force Majeure

Neither party shall be responsible for any delay or failure in any performance due to acts of God, war, warlike conditions, blockade, embargoes, riots, government restriction, labor disturbances, unavailability of anticipated usual means of supplies, wrecks, epidemics, quarantine, fire, flood, earthquake, explosion, any unforeseen change in circumstances, or any other causes beyond the parties’ reasonable control.

Entire Agreement

This Agreement and Policies or Notices expressly incorporated by reference herein, and any other legal notices published by Us on Our Website shall constitute the entire agreement of the parties, and supersede any prior or contemporaneous agreements, understandings, warranties, or understandings, whether written or oral, whether express or implied, with connection to Our Services.

Notification of Changes

At its discretion, Founder Shield may amend these Terms from time to time. We will post any such material changes to Our Website along with a notice indicating that these Terms have changed at least thirty (30) days prior to the effective date of these changes, when practicable. Should We materially change the Terms, You may cancel Your account with Us by contacting Us in accordance with the “Contact Us” provision of these Terms before the effective date of the modified Terms. You will not be bound by the updated Terms if You cancel Your account within this time period.

In the event Founder Shield may choose or become obligated to provide You with notices under or related to these Terms, You consent to receive such notices or related communications by Founder Shield posting them on Our Website, by sending them to You via an email address You provided, or by sending them to a postal address You provided, at Our discretion. You further agree that any such communication as described herein satisfies any legal requirement that the communication must be provided in writing.

We have a website accessibility team and are making continued improvements to our website to make it easier for persons with disabilities to use. More Label Tags
We have more labels and titles to make it easier to find things and to use less keystrokes in getting around our website.

Image Text Alternatives
We have added missing label tags on images throughout our website to make it easier for persons with visual or cognitive disabilities to find information on our site. We are working to have a corresponding image for every page on our website that you can use as an alternative to text. We are making every reasonable effort to make the images functional so you can find the content you are looking for quickly. We are also making it possible to find content without having to distinguish among colors.

Easier Keyboard Access
We have made it easier to use the keyboard on our website, a functionality we will continue to improve so that you can find what you are looking for easier.

Re-Sizing Text
We are making it easier to change the text size and font style and the space between lines to make our website more user-friendly. Large-scale text and images of large-scale text will have a contrast ratio of at least 3:1. We are also adding a zoom feature so you can make images even larger when needed.

Video and Audio Controls
We are adding easy to find controls for prerecorded audio and visual content.

Partial Conformance where Full Accessibility is Not Possible
Some of the pages on our website may not conform fully to existing accessibility standards if accessibility support for them does not exist. For such pages, if any, every effort is being made to make them conforming to existing guidelines. Such partial non-conforming content may exist, for example, where a third party has contributed content that is non-conforming.

Web Accessibility Partner
We have a web accessibility partner who works with our web accessibility team to update our website and content and integrate new apps and releases that will make it easier to use our services and products. We are committed as a company to work with our partner to make our website more accessible to everyone.

BRP is dedicated to full transparency and disclosure in all of its business dealings. We are committed to disclosing our roles and interests in insurance transactions, including the type of compensation we may receive.

HOW BRP IS COMPENSATED

Like other brokers, BRP is compensated in a variety of ways, including commissions and fees paid by insurance company partners and fees paid by clients. BRP may receive compensation through one or a combination of the payment methods listed below, in compliance with applicable State laws and regulations.

Retail Commissions: A retail commission is paid to BRP by the insurance company partner as a percentage of the premium charged to the insured for the policy. The amount of commission may vary depending on a number of factors, including the type of insurance product sold and the insurance company partner selected by the client, and when applicable, based on the insurance company partner’s filed and approved rates. Retail commission rates may vary from transaction to transaction.

Client Fees: Some clients may agree to pay BRP a fee for BRP’s services, other than the placement of insurance coverage for the client. This fee is separate from retail commissions paid by insurance company partners.

Insurance Company Partner Consulting Compensation: BRP receives compensation from some insurance company partners for providing consulting, data analytics, or other services, unrelated to the placement of individual insurance policies. The services are designed to improve the product offerings available to our clients, assist our insurance company partners in identifying new opportunities, and enhance insurance company partners’ operational efficiency. The scope and nature of the services vary by insurance company partner and by geography.

Contingent Commissions: Some insurance company partners agree to pay BRP contingent commissions when we meet certain goals for insurance policies placed with them during a given year or other time period. The goals may include volume, profitability, retention and/or growth thresholds. The amount of contingent commission earned may vary depending on factors relating to an entire book of business over the course of the year or period. As a result, the amount of contingent commission attributable to any given insurance policy typically will not be known at the time of placement.

Supplemental Commissions. Some insurance markets, including BRP-owned intermediaries, have modified their commission schedule with BRP, resulting in an increase in some commission rates. These additional commissions, commonly referred to as “supplemental commissions”, are known as of the effective date of the policy, but some insurance companies are paying this commission later and apart from when commission is normally paid at policy issuance. Unlike contingent commissions, supplemental commissions are determined without regard to any performance factors contingent on underwriting, profitability, volume or retention goals.

Compensation for Insurance Company Partner Administration and Other Services: BRP operates certain panels, facilities, quota shares and other placement arrangements with some insurance company partners. BRP receives separate compensation for administering these arrangements that is in addition to any other fee or commission earned by BRP.

Other Benefits or Compensation: BRP may, from time to time, participate in insurance company partner promotional events, including small monetary or token gifts, or employee training and development provided by insurance company partners. Sometimes, BRP is reimbursed by insurance company partners for its costs related to promotional marketing. Where legally permitted, BRP earns interest and other income on premium accounts, as paid to us by the financial institutions where insurance premiums are held prior to remittance to insurance company partners.

BRP’S CONTRACTUAL ARRANGEMENTS WITH INSURANCE COMPANY PARTNERS

BRP has agreements with certain insurance company partners pursuant to which BRP provides services to them and for which BRP is compensated. Examples include captive management services, claims administration services, claims management software and associated services, mergers and acquisitions due diligence services, managing general agent and managing general underwriter services and insurance brokerage services regarding insurance company partners’ own insurance programs. BRP is also party to agreements with insurance company partners that facilitate insurance transactions, including agency agreements, agreements to administer facilities, and agreements to operate internet-based insurance placing facilities.

BRP routinely enters into various types of agreements with insurance company partners that are ancillary to the insurance broking process, or other services performed on behalf of clients. Examples include confidentiality and non-disclosure agreements for the release of data relating to insurance placements, claims handling and loss control programs, non-disclosure and/or non-competition agreements relating to the development and disclosure of new insurance products and services, and licensing agreements governing access to and use of data management systems and databases.

HOW BRP USES YOUR INFORMATION

Fair Credit Reporting Act Disclosure Statement and Notice of Insurance Information Practices: Personal information about you may be collected from you or from sources other than you in connection with insurance applications, subsequent renewals, or other insurance services we provide to you. A credit report or score may be requested for underwriting or rating purposes. BRP may obtain information about your credit history, your loss history and the loss history of the property proposed for coverage. Such information, as well as other personal and privileged information collected by us or our agents may, in certain circumstances, be disclosed to third parties, such as insurance company partners, actuaries, underwriting consultants and reinsurance brokers without your authorization, as permitted or required by law.

Data Analytics: BRP may include, on an anonymous or de-identified basis, information relating to its clients’ insurance programs in benchmarking, modeling and other analytics. BRP offers an array of analytics capabilities to clients, insurance company partners and others. For clients, these offerings include benchmarking databases, analytics and modelling tools, surveys and other compilations of information, which are designed to help clients more effectively assess their risks, make more informed decisions and construct insurance programs and other risk mitigation strategies. BRP or its affiliates may in some instances receive compensation for its analytics offerings from clients, insurance company partners and others.
